Description
The Corporate Governance Office resides in the Card, Regulatory and Enterprise Governance Group of the Legal Department and is responsible for providing governance advice and support to the Company's Board of Directors and Senior Management Committees and for ensuring that the Company's various subsidiaries are compliant with certain state requirements. This position plays a significant role in building and improving upon processes, meeting certain compliance requirements and managing special projects.
Responsibilities
Provide support for the Board of Directors:
- Prepare for and distribute meeting materials to Board members and senior management
- Make annual updates to the Board of Director's reference guide
- Monitor director profiles including meeting attendance, director education, and periodicals and subscription usage
Provide support for Subsidiaries:
- Act as administrator of subsidiary management database, including management of user access
- Issue monthly reporting on subsidiary director and officer appointments
- Manage vendor providing registered agent services
- May assist in completing routine Secretary of State filings
Manage document retention processes and systems:
- Act as Business Area Information Manager for team in Legal Department
- Act as administrator for document retention systems
- Manage official records for the Board of Directors, Senior Management Committees, and subsidiaries
Qualifications
Required Qualifications:
- High School Diploma, GED or equivalent.
- 2 Years of Administrative Assistant Support Experience.
- 2 Years of Experience working with the Microsoft Office Suite.
Preferred Qualifications:
- Bachelor's Degree or equivalent experience
- 2 years of project and/or process management experience
- Comfort interacting with senior executives
- Problem-solving capabilities; ability to resolve issues
- Excellent written and verbal communications skills
- Demonstrated ability to work effectively both on teams and independently
